AN ORDINANCE TO AMEND THE MIDCONTINENT FRANCHISE AGREEMENT
WHEREAS Midcontinent Communications (“Grantee” or “Midco”) holds a communications franchise (“Franchise”) for the construction and operation of a communications system within the City of Annandale, Minnesota (“Grantor”); and
WHEREAS, Grantor and Midco have mutually agreed amend the Franchise by adopting this Ordinance Amendment (“Amendment”) and to make such other changes as are mutually agreed upon herein.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY OF ANNANDALE, MINNESOTA:
1. The Effective Date of this Amendment shall be December 9, 2025.
2. The Franchise Term shall be ten (10) years from the Effective Date of this Amendment.
3. Section 2, paragraph 4(c), the second to the last sentence in the paragraph shall read:
An MVPD is not an entity that provides direct broadcast satellite services or video streaming services for purposes of this section.
4. Section 2, paragraph 9, Written Notice, If to Grantee: shall be changed as follows:

5. Section 2, paragraph 10, shall be deleted in its entirety.
6. Section 6, paragraph 3.(a), shall read:
(a) Grantee will pay Franchising Authority an annual franchise fee in the amount of five (5) percent of Grantee’s annual Gross Revenues.
7. Except as expressly modified herein, all other terms and conditions of the Franchise shall remain in full force and effect. Neither party waives any rights it may have pursuant to applicable law.
